Work, Rest or Play – Advertiser Agreement

THE PARTIES:

(1) Work, Rest or Play (“we”, “us”, “our”)

We operate as a local business and community advertising platform in the UK.

(2) You, the Advertiser (“you”, “your”)

An individual or organisation purchasing advertising or listing services through the Work, Rest or Play platform.

By registering as an Advertiser, you confirm that the information you provide is accurate, up to date, and complete.

1. PURPOSE

This Agreement sets out the terms and conditions between Work, Rest or Play and the Advertiser. By purchasing or renewing an advertising listing or package, you agree to comply with this Agreement, along with our Website Terms of Use and Privacy Policy.

2. DEFINITIONS

  • “Advertiser Agreement” – This contract between Work, Rest or Play and the Advertiser.
  • “Date of Commencement” – The date we receive your advertising or listing payment.
  • “Our Website” – Any domain operated by us, including the Work, Rest or Play platform and associated web pages.
  • “Services” – All features provided via Our Website, including advertising, event listings, promotions, and business directory inclusion.

3. BASIS OF AGREEMENT

  • The Agreement begins on the Date of Commencement and runs for 12 months, unless terminated earlier.
  • Renewals constitute a new contract, based on terms in effect at the time of renewal.
  • A binding contract forms only when we confirm acceptance of your application. Payment alone does not guarantee acceptance. If we decline your application, we will refund your payment.

4. ADVERTISING FEES

  • By purchasing an advertising package, you commit to a 12-month advertising agreement with Work, Rest or Play.
  • Payment can be made in full at the start of the term, or spread across the year via monthly or quarterly Direct Debit.
  • Pricing for each package is clearly stated on Our Website and is inclusive of VAT.
  • Regardless of payment frequency, this remains an annual agreement, and cancellation does not release you from the obligation to complete payment for the full 12-month term.
  • If a Direct Debit payment fails or is cancelled before the full amount is received, we reserve the right to:
    • suspend or remove your advertising listing;
    • pursue outstanding payments for the remaining term;
    • charge reasonable administrative fees and interest as permitted by law.
  • Work, Rest or Play may revise its pricing structure at any time. New fees will only apply to new or renewed agreements unless otherwise stated.
  • All payments are non-refundable unless otherwise agreed in writing.

5. RENEWAL

  • We will send a renewal notice to your last known email address at least 4 weeks before your agreement expires.
  • If we do not receive payment by the expiry date, your listing will lapse and be removed from the platform.
  • Renewal is not automatic and is subject to approval.

6. PAYMENT SECURITY

  • Payments are processed via secure, third-party payment processors. We do not directly handle or store card details.
  • Where authorised, encrypted payment details may be securely stored for future use.

7. ADVERTISER RESPONSIBILITIES

As an Advertiser on Work, Rest or Play, you agree to:

  • Ensure your listing information is accurate, current, and not misleading.
  • Maintain lawful and professional conduct in all content and communications.
  • Promptly inform us of any changes to your business or contact information.
  • Not spam, misrepresent, or otherwise misuse the platform or other users.

We will:

  • Display your business in our directory in accordance with your package.
  • Promote Advertisers through social media, newsletters, and other relevant channels.
  • Provide notification of new opportunities and local updates relevant to advertisers.

8. TERMINATION

This Agreement can be terminated:

  • By mutual written consent;
  • By us, at our discretion, for breach of these terms (e.g., offensive content, non-payment, or misuse);
  • At the end of your agreed term, if not renewed.

Termination results in:

  • Immediate removal of your listing and access to advertiser benefits;
  • No entitlement to a refund of any fees paid.

9. PRIVACY & DATA USE

  • We only use your data for purposes outlined in our Privacy Policy.
  • Your listing and business details will be visible to the public and may appear in our promotions, email campaigns, and social channels.
  • You grant us permission to use your logo, name, and relevant promotional materials for advertising your business through our platform and services.

10. LIMITATION OF LIABILITY

We provide our Services “as is” without guarantees or warranties. You acknowledge that:

  • Our liability to you is limited to the amount paid in the 12 months prior to any claim;
  • We are not liable for indirect or consequential loss, including loss of profits or business;
  • We are not responsible for outcomes of referrals, leads, or performance of any listing.

11. INDEMNITY

You agree to indemnify and hold us harmless from any claims, costs, or damages arising from:

  • Inaccurate or misleading content you provide;
  • Your use of the platform in breach of this Agreement;
  • Any legal claims related to your listing or advertising content.

12. GENERAL TERMS

  • This Agreement is governed by English law. Any disputes shall be settled under the jurisdiction of the courts of England and Wales.
  • Any modification to this Agreement will be posted on Our Website. Continued use of the platform constitutes acceptance of updated terms.
  • If any provision of this Agreement is found to be unenforceable, the remainder shall continue to apply.
  • This Agreement is not transferable without our written consent.
